SOCIETY OF PEDIATRIC AND CONGENITAL HEART SURGEONS

- - The Aims and Objectives for which The Society - -
  1. To create and disseminate knowledge, enlightenment, ideas, education, research, training, development and consultancy in the field of treatment of children born with a congenital heart defect and to promote the highest quality of comprehensive medical care to all patients: from the fetus to the adult regardless of the patient’s economic condition so as to enable the public at large to improve the quality of its life.
  2. To promote develop, establish, run, manage, administer and operate and maintain all types of educational institutions, schools and colleges for imparting education, training and research, including without limitation primary, secondary, higher secondary schools, undergraduate, graduate and post-graduate colleges in all disciplines, including without limitation medicine and all disciplines of medical sciences especially development of surgeons specialising in pediatric and congenital heart surgery, nursing, pharmacy, technical, science and technology and to seek, arrange and get affiliation and accreditation of such schools and institutions with competent authorities. Government agencies and educational and other institutions in India subject to approval of the competent authorities.
  3. To promote the study, research, training, creation and dissemination of knowledge in all areas of natural and social sciences, medical sciences, food, health and nutrition, healthcare and all types of education disciplines in existences as on date or that may develop in future.
  4. To promote, start, run, publish, print, Documentary Films, research monographs, reports, books, materials, pamphlets in all types of media and other literature and research papers in all streams of education and human endeavour for the purpose of imparting knowledge and information and dissemination of medical science specially in the field of heart surgery in children.
  5. To establish and maintain libraries, reading rooms, study centres and information services for the enhancement of education, health and social welfare of mankind.
  6. To provide and promote education, healthcare, literacy, cultural and other social activities amongst the public.
  7. To establish in India regional centres to promote the objectives of the Society.
  8. To maintain an accurate database of heart disease and program across India and facilitate mentorship between doctors and centres.
  9. To promote collaboration across medical and surgical sub specialities.
  10. To undertake all such activities that may promote the furtherance of above mentioned objectives.

  1. By Laws – Rules and Regulations

    1. Membership

    The membership of the society is open to any person or persons who has attained the age of maturity and fulfils the terms and conditions of the Society but subject to the approval of the Governing Body of the Society.

     

    1. General Member: These members from part of the general body and shall be appointed on approval of the Governing body through the General Secretary with the approval of the Chairman/President. These members shall vote on policy matters only but do not have the right to vote in the election of the governing body. In case of their demise their legal heirs/succcessors shall automatically replace them as successors, subject to approval from Chairman, President and General Secretary.

     

    1. Honorary Members: These members shall be appointed or nominated by the governing body through the general secretary with the approval of the President. These members do not hold the right to vote.

     

    1. Lifetime Member: These members from part of the general body and these members shall be appointed or nominated by the governing body through the general secretary with the approval of the Chairman and President. Only these members shall be elected/appointed to be the office bearers of the governing body. They hold the right to vote on all matters.

     

    1. Membership Fees and Subscription

    The membership fee of the society is as follows:

    • 15,000/- per year for Lifetime Member. This membership fee is subject to revision by the governing body.
    • 10,000/- per year for General Members. Membership fee is subject to revision by the governing body.
    • No Membership fee for Honorary Members.

     

    1. Termination of Membership

    A member shall loose his/her membership on any of the following grounds and reasons and the Governing body is empowered to take such decisions:

    1. On his/her death.
    2. On his/her absence without permission of the President or Chairman in three consecutive meetings.
    • On his/her written resignation from the membership of the society.
    1. He/she who is hindrance to the achievement of the aims and objectives of the society.
    2. He/she who have been declare insolvent.
    3. He/she does not subscribe his annual membership/subscription fees.
    • He/she disregards Rules & Regulations or disobeys the decision of the Society.
    • The termination shall be admissible only after approval from General Secretary, President and Chairman (all the three).
    1. The reason of termination from the membership shall be communicated to the member concerned.

     

    1. Appeals

    All the appeals shall be referred to the Governing Body and their decision shall be final. The reason for the rejection shall be communicated to the member concerned.

     

    1. Re-Admission

    In case the member expelled by the Governing Body, the same can be re-admitted provided the member concerned pays all liabilities upto date dues. The decision of the Governing Body shall be final.

     

    1. Lifetime Members & Founder Members

    The Members of the first General Body hereby shall be known as the founder members of the society. Besides this, new members on approval of Chairman, President and General Secretary and subsequent to payment of due subscription fee shall be designated as lifetime members of the society.

     

    1. General Body

     

    Formation :

    The General Body will consist of not less than seven members and all members of the society shall constitute members of the general body except Honorary Members. All the members of the society shall be appointed with the approval of Chairman, President and General Secretary (or their designated nominees) all three and not otherwise.

     

    Meeting:

    The General body will meet at least once in a year but in special case this may be called whenever necessary with the permission of the Chairman or the President.

     

    Notice:

    A seven days notice will be essential for general body meeting. Under emergent circumstances meting may be called by the General Secretary with the approval of the Chairman of President in week’s notice.

     

    Quorum:

    Two-third of the total membership will be quorum of the meeting. In case of the adjourned meeting, there will be not quorum.

     

    Annual Meeting:

    Annual meeting will be held in the first week of July every year. The dates may change as per the needs. The date of the annual meeting shall be communicated to all the members at least 3 months in advance.

     

    Rights and Privileges of the Members

    All and every member of the society:

    1. Shall have one vote at every meeting (except Honorary Members). In case of any dispute the chairman’s vote shall be counted as two votes.
    2. Shall be entitled to participate in the meetings and religious/cultural function and other lawful gatherings called / arranged by the Society.
    • Shall have right to seek any information from the Governing Body by giving reasonable notice.
    1. Shall be bound by the rules and regulations and / or by-laws, which may be framed, from time to time.
    2. Shall make his/her activities to promote/develop the aim and objects of the Society.
    3. Shall administer the oath of the office and loyalties to the Society and/ or its constitution.
    • Shall elect governing body of the above Society (except General Members and Honorary Members)
    • Shall attend the general body meetings as and required.
    1. Shall give the necessary information to the Society of pertaining to any matter which is necessary to be known by the Society.

    Duties:

    1. To guide the society in fulfilling its objectives.
    2. To decide policy matters as the case may be.
    3. To elect, in every five years, its Chairman and Secretary by method of holding the hands up/secret ballots in favour of the particular candidate(s). Votes by proxy shall also be admissible. Only lifetime members shall vote for the election of governing body members.
    4. To vote on all policy matters as the case may be.

     

    1. Governing Body
    2. Formation:-

    Chairman shall be the titular head of the Governing Body and all office bearers and members of executive body shall be elected by General Body for every two years.

    The Governing Body shall consist of not less than four and note more than twenty members.

    The superintendence, control and direction of the affairs of the society and its income and property (Both movable & immovable) shall be entrusted to the governing body.

    The terms of the Governing Body shall be for two years. A member whose term expires shall be eligible for re-election.

     

    1. Meeting:

    The governing body shall ordinarily meet once in every six months, provided that the Chairman or President may, where he thinks or on written request of not less than two members may call a special meeting of the governing body. All decisions of the Governing Body shall be approved by the Secretary and at-least two members of the society and shall be duly intimated to the Chairman.

     

    1. Notice:

    The Notice of the meeting shall be given at least seven days ahead but in special circumstance, the Secretary with the consent of the Chairman will have the power to call the meeting by giving one day notice.

     

    1. Duties:

    The Governing Body will be competent to raise funds and purchase or sale of mortgage property (movable and immovable) as decided by it from time to time as per Societies Registration Act.

    To Governing Body shall have full charge over all immovable property (s) belonging to or vested in the society in such a manner as it think fit and these will be handled through the General Secretary or as decided by the Governing Body. 

    The governing body shall be competent to invest the funds in the manner it likes and it shall be competent to borrow or mortgage or hypothecate the property(s) on behalf of the society and these too shall be handled through the General Secretary or as decided by the Governing Body as per Societies Registration Act.

     

    1. Duties and Responsibilities of the President:

    To preside over the General Body meetings and to assist the Society in all possible activities and areas and provide directions to the Vice-President and Secretary as and when required.

    To work for the overall welfare of the society and security of all its assets.

    He is the Titular Head of the Society.

    To President over the Governing body meetings and see that the meeting is conducted properly.

    To be responsible for the working of the Society/Governing Body to all members.

    To supervise and guide the overall activities of the Society. 

     

    1. Duties and Responsibilities of the Vice President:

    In the absence of the President, the Vice-President shall enjoy all powers and duties, which are entrusted to the President. He/she will also assist to the President in his/her work.

     

    1. Duties and responsibilities of the Secretary:

    To call meetings of the general body/governing body with the consent of the President.

    To keep minutes of all the meetings of General Body/Governing Body.

    To keep and preserve the records of the Society/Governing Body.

    To carry on correspondence on behalf of the Society/General Body.

    He/she will be overall in charge of the administrative and exactions of all the programs of the Society / including financial affairs on behalf of the Governing Body including creation of posts. Fixation of salaries/remuneration/ allowance etc., appointments, engagements of staff on work charge or daily basis, make purchase and do all other such thinks as may be necessary in the furtherance of the objects of the society.

    He shall be responsible for overall smooth functioning and growth of the society.

     

    1. Duties and Responsibilities of the Treasurer:

    To keep accounts of all financial transactions of the society and of all the sum of money received and spent by the society and maintains records of receipts and expenses relating to such matters, and of assets, credits and liabilities. Provided that the accounts shall be kept separately of all foreign dimensions / grants / contributions, if any.

    To get the account audited by the chartered accountant appointed by the governing body at of the close accounting year, ever year.

    To submit to the Governing Body the annual accounts and budgets of the Society.

    The Treasurer shall assist to the Secretary in all financial matters and dealings.

     

    1. Managements Committees:

    There shall be management committee/s for the management of International School and Higher Education Institute or any other associated institutes. The members and composition shall be defined as follows:

    1. Assets and Funds:
    2. All the funds shall be kept in a main bank account and will be operated by the Secretary/Treasurer only.
    3. All assets and funds will belong to the society and not to any individual member/office bearer.
    4. All income of the society shall be utilized for the furtherance of the aims and objectives of the society.
    5. Accounts and Audits of the Society:
    6. Financial year of the society shall be from 01st April to 31st March of the succeeding year.
    7. The Governing Body shall appoint a Chartered Accountant or firm of Chartered Accountants for audit, checking up of accounts and preparation of Income-Expenditure Accounts, Balance Sheet, Utilization Certificate or any other financial statement as may be needed for submission with donor/financial agencies.

     

    1. Records and Registers to be Kept by the Society:
    2. Register of Members:

    The Society shall maintain a register of the members, giving the following particulars regarding entrance or cessation of his / her membership.

    1. Name and Full address of the member
    2. The date of birth of the member
    3. Occupation of the member
    4. Date of governing body meeting by which the decision regarding the membership was taken.
    5. The date on which a member ceased to be such manner.
    6. The date of cessations/ termination of member from the society.
    7. Other records like proceeding register, stock register, cashbook, ledger etc. Shall be maintained at the registered office of the society.

     

    1. Changes and Amendments in the constitution/Rules and By-Laws:

    Any change or amendment in memorandum, rules and By-Laws of the Society may be done by the Governing Body called for this purpose and approved by Chairman and Secretary (all three) and more than 75% of the lifetime members or in accordance with provisions of Section 12 and 12A of the Societies Registration Act of 1860, as applicable in India.

     

    1. Legal Proceedings:

    The Society may sue or be sued in the name of Chairman/Secretary as per provisions laid down under Section 6 of the Societies Registration Act of 1860 as applicable in the state of UP.

     

    1. Dissolution:

    If the Society needs to be dissolved it shall be dissolved as per provisions laid down under section 13 and 14 of the Societies Registration Act of 1860 as applicable to the State of UP.

     

    1. Application of the Act:

    All the provisions under all Section of the Societies Registration Act of 1860 as applicable to the State of UP, shall apply to this Society.

The Society of Pediatric and Congenital Heart Surgeons is the official society of Congenital Heart Surgeons of India. It’s a ‘Not-for-Profit’ organization dedicated to developing Pediatric Cardiac Surgery in India and the region. SPCHS aims do develop training, academics, and research in the field of Pediatric Cardiac Sciences in India and the region.
