By Laws – Rules and Regulations
The membership of the society is open to any person or persons who has attained the age of maturity and fulfils the terms and conditions of the Society but subject to the approval of the Governing Body of the Society.
The membership fee of the society is as follows:
A member shall loose his/her membership on any of the following grounds and reasons and the Governing body is empowered to take such decisions:
All the appeals shall be referred to the Governing Body and their decision shall be final. The reason for the rejection shall be communicated to the member concerned.
In case the member expelled by the Governing Body, the same can be re-admitted provided the member concerned pays all liabilities upto date dues. The decision of the Governing Body shall be final.
The Members of the first General Body hereby shall be known as the founder members of the society. Besides this, new members on approval of Chairman, President and General Secretary and subsequent to payment of due subscription fee shall be designated as lifetime members of the society.
Formation :
The General Body will consist of not less than seven members and all members of the society shall constitute members of the general body except Honorary Members. All the members of the society shall be appointed with the approval of Chairman, President and General Secretary (or their designated nominees) all three and not otherwise.
Meeting:
The General body will meet at least once in a year but in special case this may be called whenever necessary with the permission of the Chairman or the President.
Notice:
A seven days notice will be essential for general body meeting. Under emergent circumstances meting may be called by the General Secretary with the approval of the Chairman of President in week’s notice.
Quorum:
Two-third of the total membership will be quorum of the meeting. In case of the adjourned meeting, there will be not quorum.
Annual Meeting:
Annual meeting will be held in the first week of July every year. The dates may change as per the needs. The date of the annual meeting shall be communicated to all the members at least 3 months in advance.

Duties:
Chairman shall be the titular head of the Governing Body and all office bearers and members of executive body shall be elected by General Body for every two years.
The Governing Body shall consist of not less than four and note more than twenty members.
The superintendence, control and direction of the affairs of the society and its income and property (Both movable & immovable) shall be entrusted to the governing body.
The terms of the Governing Body shall be for two years. A member whose term expires shall be eligible for re-election.
The governing body shall ordinarily meet once in every six months, provided that the Chairman or President may, where he thinks or on written request of not less than two members may call a special meeting of the governing body. All decisions of the Governing Body shall be approved by the Secretary and at-least two members of the society and shall be duly intimated to the Chairman.
The Notice of the meeting shall be given at least seven days ahead but in special circumstance, the Secretary with the consent of the Chairman will have the power to call the meeting by giving one day notice.
The Governing Body will be competent to raise funds and purchase or sale of mortgage property (movable and immovable) as decided by it from time to time as per Societies Registration Act.
To Governing Body shall have full charge over all immovable property (s) belonging to or vested in the society in such a manner as it think fit and these will be handled through the General Secretary or as decided by the Governing Body.
The governing body shall be competent to invest the funds in the manner it likes and it shall be competent to borrow or mortgage or hypothecate the property(s) on behalf of the society and these too shall be handled through the General Secretary or as decided by the Governing Body as per Societies Registration Act.
To preside over the General Body meetings and to assist the Society in all possible activities and areas and provide directions to the Vice-President and Secretary as and when required.
To work for the overall welfare of the society and security of all its assets.
He is the Titular Head of the Society.
To President over the Governing body meetings and see that the meeting is conducted properly.
To be responsible for the working of the Society/Governing Body to all members.
To supervise and guide the overall activities of the Society.
In the absence of the President, the Vice-President shall enjoy all powers and duties, which are entrusted to the President. He/she will also assist to the President in his/her work.
To call meetings of the general body/governing body with the consent of the President.
To keep minutes of all the meetings of General Body/Governing Body.
To keep and preserve the records of the Society/Governing Body.
To carry on correspondence on behalf of the Society/General Body.
He/she will be overall in charge of the administrative and exactions of all the programs of the Society / including financial affairs on behalf of the Governing Body including creation of posts. Fixation of salaries/remuneration/ allowance etc., appointments, engagements of staff on work charge or daily basis, make purchase and do all other such thinks as may be necessary in the furtherance of the objects of the society.
He shall be responsible for overall smooth functioning and growth of the society.
To keep accounts of all financial transactions of the society and of all the sum of money received and spent by the society and maintains records of receipts and expenses relating to such matters, and of assets, credits and liabilities. Provided that the accounts shall be kept separately of all foreign dimensions / grants / contributions, if any.
To get the account audited by the chartered accountant appointed by the governing body at of the close accounting year, ever year.
To submit to the Governing Body the annual accounts and budgets of the Society.
The Treasurer shall assist to the Secretary in all financial matters and dealings.
There shall be management committee/s for the management of International School and Higher Education Institute or any other associated institutes. The members and composition shall be defined as follows:
The Society shall maintain a register of the members, giving the following particulars regarding entrance or cessation of his / her membership.
Any change or amendment in memorandum, rules and By-Laws of the Society may be done by the Governing Body called for this purpose and approved by Chairman and Secretary (all three) and more than 75% of the lifetime members or in accordance with provisions of Section 12 and 12A of the Societies Registration Act of 1860, as applicable in India.
The Society may sue or be sued in the name of Chairman/Secretary as per provisions laid down under Section 6 of the Societies Registration Act of 1860 as applicable in the state of UP.
If the Society needs to be dissolved it shall be dissolved as per provisions laid down under section 13 and 14 of the Societies Registration Act of 1860 as applicable to the State of UP.
All the provisions under all Section of the Societies Registration Act of 1860 as applicable to the State of UP, shall apply to this Society.
The Society of Pediatric and Congenital Heart Surgeons is the official society of Congenital Heart Surgeons of India. It’s a ‘Not-for-Profit’ organization dedicated to developing Pediatric Cardiac Surgery in India and the region. SPCHS aims do develop training, academics, and research in the field of Pediatric Cardiac Sciences in India and the region.
